Welcome to Direct Seafood. These Terms and Conditions ("Terms") govern your access to and use of our website (the "Site") and any products and services provided by Direct Seafood through the Site (collectively, the "Services"). By accessing or using the Site or placing an order, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

In addition to these Terms, your use of the Site is subject to our Privacy Policy, Shipping Policy, and Refund & Guarantee Policy, which are incorporated by reference.

Site Ownership and Platform

This Site is operated by Direct Seafood and hosted on the Shopify platform. Shopify Inc. provides the online e‑commerce platform that allows us to sell our products and services to you. Your use of the Site may also be subject to Shopify’s terms, policies, and acceptable use requirements, which are separate from and in addition to these Terms. 

Eligibility and Use of the Site

You may use the Site only if you are at least 18 years of age and capable of forming a binding contract.

You agree to:

  • use the Site and Services only for lawful purposes;

  • not interfere with or disrupt the operation of the Site, servers, or networks;

  • not attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems.

We reserve the right, in our sole discretion, to suspend or terminate access to the Site or Services at any time if we believe these Terms have been violated or to protect the integrity, security, or operation of the Site. 

Account Registration and Security

To access certain features (such as order history, subscriptions, or saved preferences), you may be required to create an account.

You are responsible for:

  • maintaining the confidentiality of your login credentials;

  • restricting access to your account and devices;

  • all activities that occur under your account or password.

You agree to notify us promptly of any unauthorized access or use of your account. 

Products, Information, and Ordering

Product Information

We make reasonable efforts to display product descriptions, pricing, weights, portion sizes, and images accurately. However, slight variations may occur in appearance, size, and weight due to the natural characteristics of seafood and normal processing. Descriptions and images are provided for general information and are not guaranteed to be error‑free.

Availability and Changes

All products are subject to availability, and we reserve the right to:

  • limit quantities of any product;

  • discontinue any product at any time;

  • substitute a comparable product of equal or greater value if necessary to fulfill your order, subject to your approval or refund;

  • correct any errors, inaccuracies, or omissions in product listings, pricing, or availability.

Order Process

After placing an order, you will receive an automated confirmation email acknowledging receipt. This confirmation does not constitute acceptance; acceptance occurs when we charge your payment method and dispatch the order. We may cancel or refuse any order at our sole discretion, including for reasons such as suspected fraud, inaccurate information, product unavailability, or violation of these Terms. If an order is canceled after payment is processed, we will issue a refund to your original payment method. 

Pricing, Taxes, and Payment

All prices are listed in U.S. Dollars (USD) and are subject to change without notice.

  • Posted prices do not include applicable sales or use taxes, shipping, or other fees unless expressly stated.

  • You are responsible for all applicable taxes and charges associated with your order.

We accept payment methods offered through Shopify Payments (including major credit cards, Shop Pay, and other methods), as well as Apple Pay and Google Pay. All transactions are processed through Shopify’s PCI‑compliant infrastructure or other secure third‑party processors. By providing payment information, you represent and warrant that you are authorized to use the chosen payment method and authorize us or our payment processor to charge the full amount of your order. 

Shipping, Risk of Loss, and Perishable Goods

Shipping, delivery, and risk‑of‑loss terms are governed by our separate Shipping Policy, which is incorporated into these Terms.

Key points include:

  • Shipping is currently available only within eligible areas of the United States as described in the Shipping Policy.

  • Title and risk of loss pass to you upon delivery by the carrier to the shipping address you provide.

  • Because seafood is perishable, you are responsible for promptly retrieving and properly storing delivered products. Failure to do so may affect eligibility under our refund or guarantee policies.

Please review the Shipping Policy carefully before placing an order. 

Refunds, Replacements, and Guarantee

Refunds, credits, replacements, and our satisfaction guarantee are governed by our separate Refund & Guarantee Policy, which is incorporated into these Terms.

In summary (without limiting that Policy):

  • Claims related to quality, condition, or shipping damage must be reported within the time window specified (typically 10 days from delivery).

  • We may request photos and other documentation to evaluate claims.

  • Remedies (refund, partial refund, replacement, credit) are determined in our discretion, consistent with the Policy.

Where these Terms and a policy conflict, the specific policy language concerning shipping or refunds will generally control for that subject, unless otherwise required by law. 

Subscriptions

If you enroll in any subscription or recurring order program:

  • You authorize Direct Seafood to automatically charge the payment method on file at the then‑current subscription price for each scheduled delivery, plus applicable taxes and fees.

  • Subscription charges and deliveries will continue at the selected interval until you cancel or modify your subscription in accordance with the instructions provided on the Site or by contacting customer support.

  • You are responsible for keeping your payment and contact information up to date.

Cancellation and modification policies, including cut‑off times for changes before the next renewal, will be described at the point of subscription and may be updated from time to time, consistent with applicable law. 

Intellectual Property

All content on the Site—including but not limited to logos, trademarks, trade names, text, graphics, photos, product descriptions, video, and layout—is owned by Direct Seafood or used under license and is protected by applicable intellectual property laws.

You agree not to:

  • copy, reproduce, modify, distribute, display, or create derivative works based on Site content, except as expressly permitted;

  • use any trademarks or branding without our prior written consent;

  • use any data mining, robots, or similar data‑gathering tools to extract content from the Site.

Limited, non‑exclusive, revocable permission is granted to access and use the Site for personal, non‑commercial use in connection with viewing and purchasing products. 

Third‑Party Services and Links

The Site may integrate or link to third‑party services (such as analytics, payment processors, shipping software, loyalty programs, or social media platforms). These third parties have their own terms and privacy policies, which govern their handling of your information and services.

Direct Seafood is not responsible for the content, policies, or practices of third‑party sites or services. Your use of any third‑party service is at your own risk, and you should review the applicable terms and policies of each third party. 

Disclaimer of Warranties

To the maximum extent permitted by law, the Site, Services, and all products are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory.

Without limiting the foregoing, Direct Seafood disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that:

  • the Site or Services will be uninterrupted, secure, or error‑free;

  • any defects will be corrected; or

  • the information on the Site is complete, accurate, or current at all times.

Nothing in this section limits any explicit guarantees or rights you may have under our Refund & Guarantee Policy or under non‑waivable consumer protection laws. 

Limitation of Liability

To the fullest extent permitted by applicable law:

  • Direct Seafood and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of data, loss of goodwill, or other intangible losses, arising out of or in connection with your use of the Site, Services, or products.

  • Direct Seafood’s total aggregate liability for any claim arising out of or relating to these Terms, the Site, or any product or service, whether in contract, tort, or otherwise, will be limited to the amount you paid to Direct Seafood for the order giving rise to the claim.

Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, the limitations will apply to the maximum extent permitted by law. 

Indemnification

You agree to indemnify, defend, and hold harmless Direct Seafood and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • your use or misuse of the Site or Services;

  • your violation of these Terms; or

  • your violation of any applicable law or third‑party right. 

Modifications to the Site or Services

We reserve the right to modify, suspend, or discontinue any part of the Site or Services at any time, with or without notice, and without liability to you or any third party. 

Changes to These Terms

We may update these Terms from time to time. The most current version will be posted on this page with an updated "Last Updated" date. Your continued use of the Site or Services after any changes become effective constitutes your acceptance of the revised Terms.

If you do not agree with the updated Terms, you should stop using the Site and Services. 

Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or your use of the Site or Services will be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

You agree to submit to the personal jurisdiction and venue of state and federal courts located in Florida for the resolution of any disputes that are not subject to informal resolution or other dispute resolution mechanisms permitted by law. 

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
